These Terms of Service ("Terms") govern your access to and use of Shugi (the "Service"), a private, invite-only community platform that helps approved adult community members list, request, lend, borrow, give away, and coordinate access to items within a trusted local group.
The Service is operated by Joyful Labs LLC, a California limited liability company ("Joyful Labs," "we," "us," or "our"). "Shugi" refers to the Service; Joyful Labs is the entity you are contracting with under these Terms.
By creating an account, accessing the Service, listing an item, requesting an item, borrowing an item, lending an item, giving an item away, receiving an item, sending a message, or otherwise using the Service, you agree to these Terms and to any Community Guidelines, item rules, safety rules, or additional terms presented in the Service.
If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By using the Service, you represent that you have read, understood, and agree to be bound by these Terms.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another reasonable method. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
You are responsible for reviewing the Terms periodically.
Version history: August 18, 2026 — renamed the Service to Shugi and identified Joyful Labs LLC as the operator; moved venue to Sacramento County, California. Previously effective July 29, 2026 (added the "SMS/Text Message Consent" terms in Section 9) and June 10, 2026.
2. About the Service
The Service is designed to help members of a private community discover, list, request, lend, borrow, give, and coordinate access to items.
The Service may include features such as member accounts, item listings, borrow requests, lending approvals, loan tracking, return confirmations, item questions, user messages, community activity, profile information, phone-number sharing after approved requests, feedback, and administrative tools for managing a pilot or community.
The Service is a coordination platform only. Unless expressly stated otherwise, Shugi does not own, inspect, verify, rent, sell, insure, deliver, store, repair, clean, maintain, or guarantee any listed item.
Transactions and interactions between users are between those users. The Service may provide tools to help users coordinate, but users are responsible for their own listings, requests, lending decisions, borrowing decisions, pickup arrangements, use of items, returns, and offline interactions.
3. Pilot Status and Community Access
The Service may begin as a limited pilot or experimental community tool. We may modify, pause, limit, discontinue, or shut down the Service at any time.
The Service is intended for use only by approved adult members of a specific private community, such as a school parent group, neighborhood, or other trusted local group. Access may require an invitation, access code, school or community affiliation, manual approval, or another access process.
Any invitation, access approval, community affiliation check, administrator review, or similar access process is limited. It does not constitute a background check, identity verification, endorsement, safety certification, trust determination, or guarantee of any user. Users remain responsible for deciding whether to lend to, borrow from, meet with, communicate with, or otherwise interact with another user.
The Service may be associated with a school, parent group, or neighborhood community, but unless expressly stated in writing, it is independently operated and is not affiliated with, sponsored by, endorsed by, or administered by any school, school district, PTA, parent association, employer, property owner, or government entity.
We may approve, deny, suspend, restrict, or revoke access at our discretion.
We do not guarantee that the Service will continue indefinitely, remain free, support the same features, or remain available to the same community.
4. Eligibility
To use the Service, you must:
- Be at least 18 years old;
- Be authorized to participate in the relevant community;
- Provide accurate account and community affiliation information;
- Use the Service only for lawful, personal, non-commercial, community-oriented purposes unless we expressly permit otherwise;
- Keep your login credentials secure; and
- Not share your account with another person.
Children may not create accounts or use the Service directly. If the Service is associated with a school or parent community, accounts must be created and used only by adults, parents, guardians, staff, or other approved adult community members.
Approval to use the Service does not create any employment, agency, partnership, joint venture, school affiliation, PTA affiliation, fiduciary, or other formal relationship between you and Joyful Labs, unless separately agreed in writing.
5. Accounts and Accurate Information
You agree to provide accurate, current, and complete information when creating and maintaining your account.
You are responsible for all activity under your account. You agree to notify us promptly if you believe your account has been accessed without authorization.
You may not:
- Impersonate another person;
- Misrepresent your identity or community affiliation;
- Use another person's account;
- Create multiple accounts to bypass community rules;
- Use the Service in a way that interferes with its operation or another user's experience; or
- Use the Service to collect, store, or share another user's information except as needed for a legitimate item request, loan, return, or community interaction through the Service.
We may suspend or remove accounts that appear inaccurate, inactive, abusive, unsafe, fraudulent, or otherwise inconsistent with these Terms or the purpose of the Service.
6. Listings and User Content
Users may create listings for items they are willing to lend, give, or otherwise make available to other approved community members.
When you create a listing, you represent that:
- You own the item or have permission to lend, give, or share it;
- Your listing is accurate to the best of your knowledge;
- The item is reasonably safe, clean, complete, and usable for the purpose described;
- You have disclosed any known defects, limitations, missing parts, safety concerns, special instructions, age restrictions, or required accessories;
- The item is not recalled, illegal, hazardous, unsanitary, prohibited, or otherwise inappropriate for the Service;
- Your photos, descriptions, and other content do not violate another person's rights; and
- You will update, pause, or remove the listing if the item becomes unavailable, unsafe, inaccurate, or no longer eligible.
Listings may include photos, descriptions, item condition, availability, maximum borrow days, pickup notes, lending instructions, return expectations, and other information.
You retain ownership of content you submit to the Service. By submitting content, you grant Joyful Labs a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, modify, and use that content as needed to operate, improve, moderate, protect, and provide the Service.
We may remove, edit, hide, pause, or reject listings or other content at our discretion, including if content appears inaccurate, incomplete, unsafe, inappropriate, stale, or inconsistent with the purpose of the Service.
You are responsible for reviewing and maintaining your listings. If an item is no longer available, you should pause, update, or remove the listing promptly.
7. Listing Confirmations and Item-Specific Rules
The Service may ask you to confirm, when creating or publishing a listing, that the listing is accurate, that you are authorized to lend or share the item, and that you have disclosed known defects or safety concerns. You agree that each such confirmation applies to the specific item being listed.
The Service may also require category-specific acknowledgments, restrictions, or instructions for certain items. For example, certain tools, appliances, sports equipment, outdoor gear, or event equipment may require additional condition disclosures or may be prohibited entirely.
If an item has manufacturer instructions, warnings, safety guards, protective parts, manuals, chargers, batteries, cases, accessories, cleaning requirements, or usage limitations, the lender is responsible for disclosing that information to the borrower when relevant.
A user's ability to publish a listing does not mean Shugi has reviewed, approved, inspected, verified, or certified the item.
Shugi may rely on user confirmations, representations, and information submitted through the Service, including confirmations about item ownership, listing accuracy, item condition, item safety, item legality, item availability, borrowing responsibility, return status, and compliance with these Terms. Shugi is not responsible for independently verifying those confirmations, representations, or information.
8. Borrowing, Lending, Giving, and Returns
The Service allows users to request items from other users. A request is not approved unless and until the item owner or lender accepts it.
Lender Responsibilities
If you list or lend an item, you are responsible for:
- Deciding whether to approve or decline each request;
- Providing accurate information about the item;
- Communicating any pickup, use, cleaning, and return expectations;
- Disclosing known issues, risks, limitations, missing parts, or required accessories;
- Making the item available as agreed, if you approve the request; and
- Confirming when the item has been returned, if applicable.
You may decline a request for any reason, provided your decision complies with applicable law and these Terms.
You may pause or remove your listings at any time, subject to honoring any approved active loan unless you and the borrower agree otherwise.
Borrower Responsibilities
If you request or borrow an item, you are responsible for:
- Requesting the item only for lawful and appropriate use;
- Inspecting the item before use and deciding whether it is safe, complete, and suitable for your intended purpose;
- Declining to take or use the item, or stopping use of the item, if it appears damaged, unsafe, defective, incomplete, or unsuitable;
- Using the item carefully, safely, lawfully, and only as intended;
- Following the lender's instructions and any item-specific rules;
- Returning the item on time and in substantially the same condition, ordinary wear and tear excepted;
- Returning all included accessories, parts, chargers, manuals, cases, bags, or attachments;
- Promptly notifying the lender if the item is damaged, lost, stolen, late, incomplete, unsafe, or not working properly; and
- Coordinating pickup and return responsibly.
Unless otherwise agreed with the lender, you are responsible for loss, damage, misuse, or failure to return an item while it is in your possession or control.
Giving Items
If the Service allows users to give items away, the giver is responsible for accurately describing the item, and the recipient is responsible for deciding whether to accept it.
Unless expressly agreed otherwise between users, items given away are provided as-is and are not expected to be returned.
Condition and Inspection
Users are encouraged to inspect items at pickup and return. If there is a concern about item condition, missing parts, damage, cleanliness, or safety, users should document it with photos or messages and communicate promptly.
Shugi does not inspect or certify item condition, safety, functionality, cleanliness, suitability, value, or legality.
9. Loan Tracking, Due Dates, and Communications
The Service may provide tools to track requests, approvals, active loans, due dates, return status, and lender confirmation.
Loan tracking tools are provided for convenience only. They do not guarantee that an item will be returned, returned on time, returned in the same condition, or free from damage.
The Service may allow users to send messages or questions related to listings, requests, loans, returns, and community coordination. You agree to use messages only for appropriate Service-related purposes.
If you provide a phone number or other contact information, the Service may share it with the other party after a borrow request is approved or as otherwise described in the Service or Privacy Policy. You should not share another user's contact information outside the Service without permission.
SMS/Text Message Consent
If you opt in, Shugi may send transactional text messages to your mobile number, such as alerts when another member requests to borrow your item or responds to a borrow request you made. Opting in is optional and is not a condition of using the Service. Message frequency varies, and message and data rates may apply. You can opt out at any time by replying STOP to any message or by turning the setting off in your account settings; reply HELP for help. We do not share or sell your mobile number or your SMS opt-in consent with third parties or affiliates for their own marketing purposes. See our Privacy Policy for details on how we handle mobile information.
10. Prohibited Items
You may not use the Service to list, lend, borrow, give, request, offer, or coordinate any item that is unlawful, unsafe, deceptive, harmful, unsanitary, regulated in a way that makes sharing inappropriate, or inconsistent with the purpose of the Service.
Unless expressly allowed by Shugi in writing, users may not list, request, lend, borrow, give, or exchange:
- Weapons, firearms, ammunition, explosives, fireworks, or weapon accessories;
- Illegal items or items used for illegal activity;
- Recalled products;
- Counterfeit, stolen, or misrepresented goods;
- Prescription drugs, controlled substances, cannabis, tobacco, nicotine products, alcohol, or drug paraphernalia;
- Hazardous chemicals, toxic substances, pesticides, fuel, solvents, or other dangerous materials;
- Medical devices or health-related items requiring professional oversight;
- Items requiring a license, permit, certification, age verification, regulated transfer, or professional training;
- Live animals;
- Perishable food, opened consumables, or homemade food unless expressly permitted;
- Items that are unsanitary or unsafe to share;
- Adult or sexually explicit products;
- Surveillance devices, spyware, tracking devices, or hidden recording equipment;
- Items that violate school, community, property, or local rules;
- Safety-critical child gear, including car seats, booster seats, cribs, bassinets, infant sleep products, bike helmets, climbing gear, flotation devices, or other protective equipment;
- Items that have been modified in a way that may affect safety or reliability; and
- Any item we designate as prohibited or restricted.
Shugi may remove any listing or request at its discretion, even if the item is not specifically listed above.
11. Prohibited Conduct
You may not:
- Harass, threaten, intimidate, shame, or abuse another user;
- Discriminate against users based on protected characteristics;
- Misrepresent an item's condition, ownership, availability, safety, value, or return status;
- Fail to return borrowed items;
- Repeatedly return items late, dirty, incomplete, or damaged;
- Use the Service for fraud, spam, solicitation, advertising, resale, or commercial activity unless expressly permitted;
- Impersonate another person or misrepresent your community affiliation;
- Share another user's private information without permission;
- Scrape, copy, reverse engineer, interfere with, or misuse the Service;
- Upload malicious code or attempt unauthorized access;
- Use the Service to pressure users into lending or giving items; or
- Use the Service in a way that creates safety, legal, operational, or reputational risk for Joyful Labs or the community.
We may suspend or remove users, listings, requests, messages, or other content that violate these Terms or appear inconsistent with the purpose of the Service.
12. Safety and Offline Interactions
The Service may help users coordinate offline pickup, dropoff, lending, borrowing, giving, or return arrangements. You are responsible for your own safety and judgment during all offline interactions. Users are solely responsible for deciding whether to lend, borrow, give, receive, meet, communicate, or otherwise interact with another user, and should use independent judgment before participating in any loan, pickup, dropoff, return, or offline interaction.
You agree to:
- Use reasonable caution when coordinating with other users;
- Meet in safe, appropriate locations;
- Avoid sharing unnecessary personal information;
- Communicate clearly about pickup and return expectations;
- Inspect items before using them;
- Stop using an item if it appears damaged, unsafe, defective, incomplete, or unsuitable; and
- Comply with applicable school, community, property, and local rules.
Shugi does not supervise, control, or assume responsibility for offline interactions between users.
We do not conduct background checks, identity verification, item inspections, home inspections, safety checks, or criminal record checks unless we expressly state otherwise.
If you believe another user, item, listing, message, or interaction is unsafe, contact us at support@cupofshugi.com. If there is an emergency or immediate danger, contact emergency services.
13. User Disputes, Damage, Loss, and Late Returns
If a dispute arises between users, users should first try to resolve the issue directly and respectfully.
Common item issues may include late returns, damage, missing parts, cleanliness concerns, inaccurate listings, or disagreements about item condition. Users are encouraged to document item condition with photos or messages at pickup and return.
Shugi may, but is not required to, help facilitate communication or provide administrative support related to a dispute. Shugi does not guarantee resolution and does not act as a court, arbitrator, insurer, collection agent, escrow agent, repair provider, appraiser, or legal representative for any user. If you have a dispute with another user, you agree that the dispute is between you and that user, and that Shugi is not required to investigate, mediate, decide, reimburse, collect, replace, repair, or otherwise resolve the dispute.
Unless otherwise agreed between the lender and borrower, the borrower is responsible for loss, damage, misuse, or failure to return an item while it is in the borrower's possession or control, except for ordinary wear and tear. If a borrower fails to return an item by the agreed return date, the borrower remains responsible for the item and for reasonable costs, losses, or damages resulting from the late return, loss, damage, or failure to return, subject to applicable law and any agreement between the users.
Shugi does not provide insurance, reimbursement, replacement, repair, collection services, or payment protection for lost, damaged, late, incomplete, unsafe, or unreturned items unless we expressly state otherwise in separate written terms.
14. Feedback, Gratitude Notes, and Community Standards
The Service may allow users to provide feedback, notes, gratitude messages, item condition comments, return confirmations, or other community-related input.
The purpose of these features is to support trust, accountability, and appreciation within the community.
Any feedback or notes you submit must be truthful, respectful, based on your actual experience, relevant to the item or interaction, and free from harassment, retaliation, threats, private personal information, or discriminatory content.
You may not use feedback, gratitude notes, messages, or other features to shame, pressure, retaliate against, or publicly embarrass another user.
Some feedback may be visible to other users. Other feedback may be visible only to Shugi administrators or designated community administrators. Private feedback may be used to support moderation, safety, dispute handling, account review, and community health. It may not always be shown to the user who is the subject of the feedback.
Shugi may review, remove, hide, edit, restrict, or decline to display feedback, gratitude notes, messages, or other content at its discretion.
Feedback, notes, ratings, confirmations, and gratitude messages, if any, reflect user-submitted information or individual opinions and do not represent endorsements, guarantees, safety certifications, trust determinations, or findings by Shugi.
15. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, disclose, and protect personal information.
The Service may collect information such as account information, community affiliation, profile information, phone number, item listings, photos, borrow requests, loan history, messages or notes related to items and requests, feedback, usage and device information, and administrative records.
Because the Service is designed for private communities, certain information may be visible to other approved members, such as your name, profile photo, item listings, item availability, community affiliation, and information needed to coordinate borrowing or lending.
Certain information, such as a phone number, pickup details, or return coordination details, may be shared with the other party after a request is approved or as otherwise described in the Service or Privacy Policy.
We do not intend the Service for use by children, and children may not create accounts or use the Service directly.
If the Service is discontinued, paused, transferred, or closed, we may deactivate listings, export limited data, delete data, anonymize data, or provide notice of available options as described in the Privacy Policy or pilot communications.
Do not use the Service if you do not want your information handled as described in the Privacy Policy.
16. Platform Role and Disclaimers
The Service is a platform that helps users coordinate community lending, borrowing, giving, and related communications.
Shugi does not:
- Own listed items;
- Guarantee item availability;
- Guarantee item condition;
- Guarantee item safety;
- Guarantee item cleanliness;
- Guarantee item legality;
- Guarantee item return;
- Guarantee user conduct;
- Guarantee user identity beyond any limited access process we choose to use;
- Guarantee any user's trustworthiness, reliability, suitability, background, or legal compliance;
- Guarantee that a borrower, lender, giver, or recipient will follow through;
- Provide insurance or protection for items;
- Inspect, certify, repair, store, transport, or maintain items;
- Act as a broker, seller, rental company, storage provider, repair provider, delivery service, insurer, escrow agent, collection agent, or guarantor.
The Service and all items, listings, content, and interactions are provided "as is" and "as available."
To the fullest extent permitted by law, Joyful Labs LLC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, safety, cleanliness, legality, and suitability.
You use the Service, use items, and interact with other users at your own risk.
17. Limitation of Liability
To the fullest extent permitted by law, Joyful Labs LLC and its owners, operators, employees, contractors, volunteers, administrators, affiliates, service providers, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or related to the Service, whether based on warranty, contract, tort, negligence, strict liability, statute, or any other legal theory.
This includes damages or losses related to:
- Lost, stolen, damaged, late, incomplete, unsafe, defective, dirty, misused, or unreturned items;
- Personal injury or property damage;
- Offline interactions between users;
- Inaccurate or misleading listings;
- User communications or conduct;
- Failure to return items;
- Disputes between users;
- Unauthorized account access;
- Service interruptions, bugs, or data loss; or
- Reliance on information provided through the Service.
To the fullest extent permitted by law, Joyful Labs LLC's total liability for any claim arising out of or related to the Service will not exceed the greater of: (a) the amount you paid to Joyful Labs LLC to use the Service during the three months before the claim arose, or (b) $100.
Nothing in these Terms is intended to limit liability in a way that is not permitted by applicable law.
18. Indemnification
You agree to defend, indemnify, and hold harmless Joyful Labs LLC and its owners, operators, employees, contractors, volunteers, administrators, affiliates, service providers, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Service;
- Your listings or user content;
- Items you lend, borrow, give, receive, use, damage, lose, or fail to return;
- Your interactions with other users;
- Your violation of these Terms;
- Your violation of applicable law;
- Your violation of another person's rights; or
- Your negligence, misconduct, fraud, or misrepresentation.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
19. Account Suspension and Termination
We may suspend, restrict, deactivate, or terminate your account or access to the Service at any time, with or without notice, if we believe:
- You violated these Terms;
- Your account information is inaccurate;
- Your use of the Service creates risk for the community or platform;
- Your conduct is inconsistent with the purpose of the Service;
- Your account appears inactive, fraudulent, unsafe, or misused;
- A listing or item appears unsafe, prohibited, or inappropriate; or
- We need to comply with legal, operational, safety, or community requirements.
We may also remove, pause, or hide listings, requests, messages, or other content at our discretion.
You may stop using the Service at any time. You may request account deletion by contacting support@cupofshugi.com, subject to any data retention described in the Privacy Policy and any need to preserve records related to active loans, disputes, safety concerns, legal obligations, or platform operations.
Termination does not affect obligations that arose before termination, including responsibilities related to borrowed items, returns, damages, indemnification, disclaimers, and limitation of liability.
20. Changes, Shutdown, and Transfer of the Service
If the pilot or Service ends, we may:
- Stop accepting new users;
- Stop accepting new listings or requests;
- Deactivate listings;
- Require active loans to be returned by a specified date;
- Export certain data for administrative or community handoff purposes;
- Delete or anonymize data, subject to the Privacy Policy and applicable law; or
- Provide notice to users through the Service, by email, or by another reasonable method.
Users remain responsible for returning borrowed items and resolving outstanding item issues even if the Service is paused, discontinued, transferred, or shut down.
We may transfer, assign, reorganize, or transition operation of the Service in connection with a new legal entity, community administrator, merger, acquisition, reorganization, sale of assets, change in control, or other operational change, subject to applicable law and the Privacy Policy.
21. Dispute Resolution and Governing Law
If you have a dispute with Joyful Labs, you agree to contact us first at support@cupofshugi.com and attempt to resolve the issue informally.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any legal action or proceeding arising out of or related to these Terms or the Service must be brought in the state or federal courts located in Sacramento County, California, unless applicable law requires otherwise.
You and Joyful Labs each consent to the personal jurisdiction and venue of those courts.
22. General Terms
These Terms, together with the Privacy Policy, Community Guidelines, and any additional terms presented in the Service, constitute the entire agreement between you and Joyful Labs regarding your use of the Service.
If any part of these Terms is found unenforceable, the remaining parts will remain in effect.
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, change in control, transfer of the Service, or formation of a new operating entity.
Headings are for convenience only and do not affect interpretation.
